Welcome to ClassLecture.ai. These Terms of Service ("Terms") govern your access to and use of our AI-powered lecture transcription and assistant service. By creating an account, uploading content, or using any part of our service, you agree to be bound by these Terms.
Please read these Terms carefully before using ClassLecture.ai. If you do not agree to these Terms, you may not use our service.
1. Acceptance of Terms
By accessing or using ClassLecture.ai (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. These documents together constitute a legally binding agreement between you ("User," "you," or "your") and ClassLecture.ai ("we," "us," or "our").
Definitions:
"Service" means the ClassLecture.ai platform, including website, applications, APIs, and all features
"Content" means any audio, video, text, transcripts, or other materials uploaded to or generated by the Service
"User Content" means Content you upload, submit, or create using the Service
"AI-Generated Content" means transcripts, summaries, embeddings, and chat responses created by AI
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
ClassLecture.ai is an AI-powered platform designed to help students and professionals manage, transcribe, and interact with educational content. Our Service includes:
Upload and Storage: Upload audio or video recordings of lectures and educational content
Audio Extraction: Automatic conversion of video files to audio-only format
AI Transcription: Automatic transcription of audio using advanced speech recognition technology (Whisper)
Text Analysis: Generation of text embeddings and semantic representations for search and retrieval
AI-Powered Chat: Ask questions about your lectures and receive AI-generated answers with audio timestamps
Lecture Organization: Organize content by classes, terms, and academic periods
Search and Retrieval: Hybrid vector and text search across all your lecture content
Lecture Summaries: AI-generated summaries of lecture content (available on select plans)
We continuously update and improve the Service. Features may be added, modified, or removed at our discretion.
3. Eligibility
To use ClassLecture.ai, you must:
Be at least 13 years of age (or the minimum age required in your jurisdiction)
Be at least 18 years of age to enter into a paid subscription without parental consent
Have the legal capacity to enter into a binding contract
Not be located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country
Not be listed on any U.S. government list of prohibited or restricted parties
Minors
If you are under 18 (or the age of majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.
Account Suspension
We reserve the right to suspend or terminate accounts that provide false information about age, identity, or eligibility.
4. Account Registration and Security
Account Creation
To use most features of ClassLecture.ai, you must create an account. When creating an account, you agree to:
Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your password secure and confidential
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activities that occur under your account
One Account Per Person
You may only create one account per person. You may not share your account credentials with others or allow others to access your account. Creating multiple accounts to circumvent usage quotas or free trial limits is prohibited and may result in termination of all your accounts.
Account Security
You are solely responsible for maintaining the security of your account and password. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Security Breaches
If you become aware of any unauthorized use of your account or any security breach, you must notify us immediately at support@classlecture.ai.
5. User Content and Ownership
Your Ownership
You retain all ownership rights to your User Content. This includes:
Audio and video recordings you upload
Lecture metadata (titles, dates, descriptions)
Questions you ask in the chat interface
Any other content you create or submit
License to ClassLecture.ai
By uploading User Content to the Service, you grant ClassLecture.ai a limited, non-exclusive, royalty-free, worldwide license to:
Store, process, and transmit your User Content
Transcribe audio and video files
Generate embeddings and semantic representations
Analyze content to provide AI-powered features
Display content back to you through the Service
Make backup copies for disaster recovery
This license is strictly limited to providing the Service to you. We do not:
Use your User Content to train AI models
Share your User Content with third parties (except as required to provide the Service)
Publicly display or distribute your User Content
Sell or monetize your User Content
Your Responsibilities
You represent and warrant that:
You own or have the necessary rights to upload and use all User Content
Your User Content does not violate any third-party rights (copyright, privacy, publicity)
Your User Content complies with all applicable laws and these Terms
You have obtained all necessary permissions to record and upload lectures
Important for Students: Some universities prohibit recording lectures without permission. You are responsible for complying with your institution's policies and obtaining any necessary consent from instructors before uploading lecture recordings.
AI-Generated Content
Content generated by our AI (transcripts, summaries, chat responses) is provided to you for your personal use. While we generate this content using your User Content, the AI-generated output is created by our systems and you should verify its accuracy before relying on it.
Right to Delete
You may delete your User Content at any time. Upon deletion, we will remove the content from our active systems within 30 days (backup copies may persist longer for disaster recovery purposes).
6. Intellectual Property Rights
ClassLecture.ai Property
ClassLecture.ai and its licensors own all rights, title, and interest in and to:
The Service platform, website, and applications
All software, code, algorithms, and technology
The ClassLecture.ai name, logo, and branding
All design elements, UI/UX, and visual assets
Documentation, guides, and instructional materials
Restrictions
You may not:
Copy, modify, or create derivative works of the Service
Reverse engineer, decompile, or disassemble any part of the Service
Remove or modify any copyright, trademark, or proprietary notices
Use our trademarks or branding without written permission
Frame or mirror any part of the Service
Use automated systems to access the Service (except our official API)
Trademarks
ClassLecture.ai, our logo, and any other product or service names or slogans displayed on the Service are trademarks of ClassLecture.ai and may not be used without permission.
Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without any obligation to you.
7. Acceptable Use Policy
You agree to use ClassLecture.ai only for lawful purposes and in accordance with these Terms. You agree NOT to:
Prohibited Activities
Illegal Use: Use the Service for any illegal purpose or to violate any laws
Copyright Infringement: Upload content you don't have rights to use
Harmful Content: Upload malware, viruses, or malicious code
System Abuse: Attempt to disrupt, damage, or impair the Service
Unauthorized Access: Access other users' accounts or data
Automated Access: Use bots, scrapers, or automated tools (except official API)
Resale: Resell, sublicense, or commercialize the Service
Impersonation: Impersonate any person or entity
Quota Circumvention: Create multiple accounts to bypass usage limits
Spam: Send unsolicited messages or use the Service for marketing
Academic Integrity
While ClassLecture.ai is designed to help you learn, you are responsible for using the Service in accordance with your institution's academic integrity policies. We do not endorse or encourage using AI-generated content to:
Complete assignments or exams without proper attribution
Violate academic honesty policies
Misrepresent AI-generated work as your own original thinking
Enforcement
We reserve the right to investigate violations of these Terms and take appropriate action, including:
Warning users
Removing Content
Suspending accounts temporarily
Permanently terminating accounts
Reporting illegal activity to law enforcement
We are not obligated to monitor User Content but reserve the right to do so to enforce these Terms.
8. Copyright and DMCA
ClassLecture.ai respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA).
Copyright Infringement Claims
If you believe content on ClassLecture.ai infringes your copyright, please send a notice to our designated DMCA agent containing:
Your physical or electronic signature
Identification of the copyrighted work claimed to be infringed
Identification of the infringing material and its location
Your contact information (address, phone, email)
A statement that you have a good faith belief the use is not authorized
A statement under penalty of perjury that your notice is accurate and you are authorized to act
If you believe content you uploaded was wrongly removed due to a copyright claim, you may submit a counter-notification to the same DMCA contact.
Repeat Infringer Policy
Users who repeatedly infringe copyright will have their accounts terminated. We maintain a policy of terminating accounts of repeat infringers in appropriate circumstances.
9. Subscription and Billing
Subscription Plans
ClassLecture.ai offers several subscription tiers:
Free Trial: 14 days, 2 hours of audio, 3 questions
Plus Plan: $47/month, 70 hours of audio, 100 questions per month
Pro Plan: $197/month, 300 hours of audio, 300 questions per month
Ultra Plan: $997/month, 1,500 hours of audio, 1,500 questions per month (coming soon)
Elite Plan: $9,997/month, 15,000 hours of audio, 15,000 questions per month (coming soon)
Note: Features and pricing are subject to change. We will notify you of any changes before they affect your subscription.
Payment Processing
All payments are processed securely through Stripe. By subscribing, you agree to Stripe's Terms of Service. We do not store your full credit card information.
Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate.
You can cancel your subscription at any time through your account settings or the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period.
Failed Payments
If a payment fails:
We will attempt to charge your payment method multiple times
You will receive email notifications about the failed payment
Your account may be suspended if payment is not received within 7 days
Your subscription may be canceled if payment fails for 14 days
Refund Policy
We offer limited refunds on a case-by-case basis:
Within 7 days of subscription: Prorated refund if you haven't significantly used the Service
Service issues: Prorated credit if the Service was unavailable for an extended period
Billing errors: Full refund for incorrect charges
After 7 days: Generally no refunds, but contact support for exceptional circumstances
We may change subscription prices at any time. If we increase prices for your plan:
You will receive at least 30 days advance notice via email
The new price will apply at your next renewal after the notice period
You may cancel before the price increase takes effect
Taxes
Prices do not include applicable taxes, which will be added at checkout based on your location. You are responsible for paying all taxes associated with your subscription.
10. Free Trial
Trial Terms
New users receive a 14-day free trial with the following limits:
Duration: 14 days from account creation
Audio transcription: Up to 2 hours total
Questions: Up to 3 questions total
No payment required: No credit card needed to start
After Trial Ends
When your trial expires:
You will no longer be able to upload new files or ask new questions
You can still view existing transcripts and chat history (read-only)
You can subscribe at any time to regain full access
Your data will be retained for 90 days after trial expiration
One Trial Per User
The free trial is available once per user. Creating multiple accounts to get additional trials is prohibited and may result in termination of all accounts.
Trial Modifications
We reserve the right to modify or discontinue the free trial at any time. Changes will apply to new users but not affect active trials.
11. Usage Quotas and Limits
Each subscription plan includes specific usage quotas that reset monthly (or at trial end for free trials).
Quota Tracking
We track the following usage:
Audio minutes: Total duration of audio transcribed per billing period
Questions asked: Number of questions submitted to AI chat per billing period
Storage: Total size of uploaded files (audio and video)
Exceeding Quotas
If you exceed your plan's quotas:
You will be unable to upload new files or ask new questions
You will see notifications prompting you to upgrade
Existing content remains accessible
Quotas reset at the start of your next billing period
Fair Use
We expect users to use the Service in good faith and in accordance with their plan limits. Excessive use that impacts system performance or appears designed to circumvent quotas may result in account suspension.
Storage Limits
While we don't currently enforce hard storage limits, we reserve the right to implement storage quotas in the future with advance notice.
12. Service Availability
No Uptime Guarantee
While we strive for high availability, we do not guarantee that ClassLecture.ai will be available 100% of the time. The Service is provided on an "as available" basis.
Maintenance
We may perform scheduled or emergency maintenance that temporarily interrupts Service availability. We will attempt to:
Schedule maintenance during off-peak hours
Provide advance notice for planned maintenance
Minimize the duration of service interruptions
Service Modifications
We reserve the right to:
Modify or discontinue features (temporarily or permanently)
Change system requirements or supported browsers
Update our infrastructure and technology
Add or remove third-party integrations
Beta Features
Some features may be marked as "beta" or "experimental." These features:
May be unstable or incomplete
May contain bugs or errors
May be modified or removed without notice
Are provided "as is" without additional support
No Liability for Unavailability
We are not liable for any damages or losses resulting from service unavailability, whether due to maintenance, outages, or other causes.
13. Third-Party Services
ClassLecture.ai integrates with and relies on several third-party services to provide our features:
OpenAI
We use OpenAI's services for transcription (Whisper), text embeddings, chat responses, and summaries. OpenAI's terms and privacy policies apply to their processing of your content.
Stripe
Payment processing is handled by Stripe. Your payment information is subject to Stripe's Terms of Service and Privacy Policy.
Cloudflare R2
Audio files are stored using Cloudflare R2. Storage is subject to Cloudflare's terms.
Supabase
Database and authentication services are provided by Supabase. Data storage is subject to Supabase's terms.
Vercel
Our application is hosted on Vercel's infrastructure.
Third-Party Terms Apply
Your use of ClassLecture.ai is also subject to the terms and privacy policies of these third-party providers. We are not responsible for these third-party services and make no warranties about them.
Service Changes
We may change, add, or remove third-party service providers at any time. Such changes may affect Service features or functionality.
No Control Over Third Parties
We have no control over third-party services and are not responsible for:
Third-party service availability or outages
Changes to third-party terms or pricing
Third-party data practices or security
Content or accuracy of third-party services
14. AI-Generated Content
Important: All AI-generated content (transcripts, summaries, chat responses) may contain errors, inaccuracies, or hallucinations. You should always verify important information independently.
No Guarantee of Accuracy
ClassLecture.ai uses advanced AI technology, but AI is not perfect. We do not guarantee that:
Transcripts are 100% accurate (speech recognition has limitations)
Chat responses are factually correct
Summaries capture all important points
AI will understand context correctly
Timestamps are perfectly aligned
User Responsibility
You are responsible for:
Reviewing AI-generated transcripts for accuracy
Verifying information before relying on it for important decisions
Cross-referencing AI chat responses with source material
Not using AI-generated content as a substitute for attending class or reading course materials
Not Professional Advice
AI-generated content is not:
Professional advice (legal, medical, financial, etc.)
A substitute for expert consultation
Guaranteed to be up-to-date or complete
Endorsed or verified by human experts
Not a Study Substitute
ClassLecture.ai is designed to supplement your learning, not replace it. Using AI-generated summaries or chat responses as your only study material may not be sufficient for academic success.
AI Limitations
AI systems have known limitations:
May struggle with accents, technical terms, or poor audio quality
May misunderstand context or nuance
May generate plausible-sounding but incorrect information ("hallucinations")
May be biased based on training data
Cannot replace critical thinking or human judgment
No Training on Your Data
We do not use your User Content or AI-generated content to train AI models. Your lectures and questions remain private and are not used to improve AI systems for other users.
15. Data Deletion and Account Termination
Your Right to Delete
You may delete your content or account at any time:
Individual lectures: Delete via the lecture page
Entire classes: Delete via the class management page
Content is immediately removed from active systems
Associated data (transcripts, embeddings, chat history) is also deleted
Backup copies may persist for up to 30 days
Deletion is permanent and cannot be undone
Account Termination by You
You may terminate your account at any time by:
Canceling any active subscription
Contacting support to request account deletion
Confirming deletion via email
Upon account termination:
All your User Content will be deleted within 30 days
Your subscription will be canceled (no refund for remaining time)
You will lose access to all transcripts and chat history
Billing records may be retained for legal/tax requirements (up to 7 years)
Termination by ClassLecture.ai
We may suspend or terminate your account if:
You violate these Terms
You engage in prohibited activities
Your payment fails repeatedly
Your account is inactive for an extended period
Required by law or legal process
If we terminate your account for violation of Terms:
You will receive email notification (unless prohibited by law)
No refund will be provided
You may not create a new account without permission
Effect of Termination
Upon termination (by either party):
Your license to use the Service ends immediately
Sections of these Terms that should survive (liability, indemnification, etc.) remain in effect
You remain liable for any obligations incurred before termination
Data Retention After Termination
After account termination:
User Content is deleted within 30 days
Anonymized usage statistics may be retained
Billing records retained per legal requirements (7 years)
Logs and audit trails may be retained for security purposes
16. Prohibited Content
You may not upload, submit, or transmit content that:
Is illegal: Violates any law, regulation, or legal obligation
Infringes rights: Violates copyright, trademark, privacy, or other rights
Contains malware: Includes viruses, trojans, or malicious code
Is harmful to minors: Contains CSAM or exploits children
Promotes violence: Encourages or glorifies violence, terrorism, or harm
Contains hate speech: Attacks individuals or groups based on protected characteristics
Harasses others: Bullies, threatens, or intimidates
Is deceptive: Contains misinformation, phishing, or fraud
Violates privacy: Doxxes or exposes personal information without consent
Is spam: Unsolicited commercial content or advertisements
Is obscene: Pornographic or sexually explicit (unless educational context)
Promotes illegal activity: Instructions for making weapons, drugs, or hacking
Content Moderation
While we do not actively monitor all User Content, we:
Respond to reports of prohibited content
May use automated tools to detect certain types of harmful content
Will remove prohibited content when discovered
May report illegal content to law enforcement
Reporting Prohibited Content
If you encounter prohibited content, please report it to abuse@classlecture.ai with:
Description of the content and why it's prohibited
URL or location of the content (if known)
Any relevant context
Consequences
Uploading prohibited content may result in:
Immediate content removal
Account suspension or termination
Reporting to law enforcement (for illegal content)
Legal liability (you indemnify us per Section 20)
17. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You own your data: You retain ownership of all User Content
No AI training: We do not use your content to train AI models
Encryption: Data is encrypted at rest and in transit
Your rights: You can access, correct, export, or delete your data
Third parties: Some data is processed by third-party services (OpenAI, Stripe, etc.)

Educational Privacy
For students: We design our systems with educational privacy in mind (FERPA-conscious). We do not share your lecture content or usage data with educational institutions without your consent.

Merchantability: That the Service is suitable for any particular purpose
Fitness for purpose: That the Service will meet your specific needs
Non-infringement: That the Service doesn't violate third-party rights
Accuracy: That AI-generated content is error-free or complete
Reliability: That the Service will be available or error-free
Security: That the Service is free from viruses or security vulnerabilities
Results: That use of the Service will achieve any particular outcome
No Guarantee of Results
We do not guarantee that:
Transcripts will be accurate or complete
AI chat responses will be correct or helpful
The Service will improve your grades or learning outcomes
Files will always upload or process successfully
The Service will be available when you need it
Your data will never be lost (though we use industry-standard backup practices)
Use at Your Own Risk
You use ClassLecture.ai entirely at your own risk. You are responsible for:
Evaluating the suitability of the Service for your needs
Maintaining your own backups of important content
Verifying the accuracy of AI-generated content
Any consequences of relying on the Service
Jurisdiction Limitations
Some jurisdictions do not allow the disclaimer of implied warranties. In such jurisdictions, the above disclaimers may not apply to you, and you may have additional rights.
19. Limitation of Liability
THIS SECTION LIMITS OUR LIABILITY FOR DAMAGES. PLEASE READ CAREFULLY.
No Liability for Indirect Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLASSLECTURE.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
Loss of profits, revenue, or business opportunities
Loss of data or content
Loss of goodwill or reputation
Cost of substitute services
Personal injury or property damage
Failure to meet academic deadlines
Poor grades or academic outcomes
Any other indirect or consequential losses
This limitation applies even if we were advised of the possibility of such damages.
Maximum Liability Cap
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
$100 USD, OR
The total amount you paid to ClassLecture.ai in the 12 months preceding the claim
No Liability for Third Parties
We are not liable for:
Actions or failures of third-party service providers (OpenAI, Stripe, etc.)
Content or accuracy of AI models we don't control
Internet service provider outages or connectivity issues
Your device, browser, or software compatibility
Actions of other users
Force Majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including:
Natural disasters, wars, or pandemics
Government actions or regulations
Internet or telecommunications failures
Hacking attacks or security breaches
Third-party service outages
Jurisdiction Limitations
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
Essential Purpose
You agree that these limitations of liability are essential elements of the agreement between you and ClassLecture.ai, and that we would not provide the Service without these limitations.
20. Indemnification
You agree to indemnify, defend, and hold harmless ClassLecture.ai, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
Your User Content: Any content you upload, submit, or transmit
Your use of the Service: How you access or use ClassLecture.ai
Violation of Terms: Your breach of these Terms or our policies
Violation of laws: Your violation of any applicable law or regulation
Infringement: Claims that your User Content infringes third-party rights
Other users: Your interactions with other users
Unauthorized use: Use of the Service through your account (whether authorized or not)
Defense Rights
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
No Settlement Without Consent
You may not settle any claim that affects ClassLecture.ai without our prior written consent.
Survival
This indemnification obligation survives termination of your account and these Terms.
21. Dispute Resolution
Informal Resolution
Before filing any legal claim, you agree to first contact us at legal@classlecture.ai to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.
If we cannot resolve the dispute within 60 days, either party may pursue formal legal action.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of [YOUR STATE], United States, without regard to its conflict of law principles.
Jurisdiction and Venue
Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in [YOUR COUNTY], [YOUR STATE], and you consent to personal jurisdiction in such courts.
Small Claims Court
Notwithstanding the above, either party may bring an individual action in small claims court if the claim qualifies.
No Class Actions
You agree to bring claims against ClassLecture.ai only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
Statute of Limitations
Any claim arising from or related to these Terms or the Service must be filed within one (1) year after the claim arose, or it will be permanently barred.
Legal Fees
In any legal action, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.
22. Changes to Terms
Right to Modify
We reserve the right to modify these Terms at any time. When we make changes, we will:
Update the "Last Updated" date at the top of this page
Send you an email notification (if you have an account)
Display a prominent notice in the application for 30 days
Effective Date
Changes to these Terms will take effect 30 days after notification (the "Notice Period"), unless:
Required by law to take effect sooner
Changes are minor or beneficial to users (may take effect immediately)
Changes are to address security or legal concerns (may take effect immediately)
Your Acceptance
By continuing to use ClassLecture.ai after the Notice Period, you agree to the updated Terms. If you do not agree to the new Terms, you must stop using the Service and may cancel your subscription.
Material Changes
For material changes that significantly affect your rights, we may require you to explicitly accept the new Terms before continuing to use the Service.
Version History
We maintain a version history of these Terms. Previous versions are available upon request.
23. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction:
The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable
If modification is not possible, the invalid provision will be severed from these Terms
All other provisions will remain in full force and effect
The validity and enforceability of the remaining provisions shall not be affected
The parties' intent is that these Terms remain enforceable to the maximum extent permitted by law.
24. Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and ClassLecture.ai regarding the Service.
These Terms supersede and replace:
Any prior agreements or understandings (oral or written)
Any prior versions of the Terms
Any conflicting statements or representations
No Oral Modifications
No oral explanation or statement by ClassLecture.ai employees or representatives shall alter the meaning or interpretation of these Terms.
No Waiver
